Terms and Conditions of The Hive Call:
- Services: The Hive Call agrees to provide Cyber/IT consulting services as mutually agreed upon by The Hive Call and the client. The scope of services, deliverables, and timelines will be outlined in a separate agreement or statement of work.
- Fees: The client agrees to pay The Hive Call the agreed-upon fees for the services rendered. Fees may be based on an hourly rate, fixed project rate, or other agreed-upon terms. Any additional expenses incurred during the provision of services will be reimbursed by the client. Payments may be made through checks, zelle, card, online payment, wire transfers, ACH, and direct deposits.
- Confidentiality: The Hive Call agrees to maintain the confidentiality of all proprietary or sensitive information disclosed by the client. This includes but is not limited to trade secrets, business plans, customer data, and any other information designated as confidential by the client. The Hive Call will not disclose or use such information for any purpose other than the provision of the services requested/engaged.
- Intellectual Property: Any intellectual property created or developed by The Hive Callduring the provision of services will be owned by the client, unless otherwise agreed upon in writing. The Hive Call agrees to assign all rights, title, and interest in such intellectual property to the client upon completion of the services.
- Non-Solicitation: The client agrees not to solicit or hire any employees or contractors of The Hive Call for a period of 12 months after the termination of the consulting engagement. This provision shall not apply if the client obtains the prior written consent of The Hive Call.
- Limitation of Liability: The Hive Call’s liability for any claim, damages, or losses arising from the provision of services shall be limited to the fees paid by the client for the specific services giving rise to the claim. The Hive Call shall not be liable for any indirect, incidental, or consequential damages.
- Termination: Either party may terminate the consulting engagement upon written notice to the other party. In the event of termination, the client shall pay for all services rendered up to the termination date, and any outstanding fees or expenses incurred.
- Governing Law: These terms and conditions shall be governed by and construed in accordance with both Federal and State laws. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts.
Confidentiality Agreement:
- Definition of Confidential Information: For the purposes of this agreement, "Confidential Information" refers to any proprietary, sensitive, or confidential information disclosed by either party to the other, including but not limited to trade secrets, business plans, financial information, client lists, software code, and any other information that is designated as confidential.
- Obligations: The recipient of Confidential Information agrees to:
a. Use the Confidential Information solely for the purpose of fulfilling the consulting services as agreed upon by the parties.
b. Maintain the Confidential Information in strict confidence and exercise reasonable care to prevent unauthorized disclosure or use.
c. Not disclose the Confidential Information to any third party without the prior written consent of the disclosing party, except as required by law.
d. Limit access to the Confidential Information to employees or contractors who have a need to know and are bound by similar confidentiality obligations.
3.Exclusions: The obligations of confidentiality shall not apply to any information that:
a. Is or becomes publicly available through no fault of the recipient.
b. Was lawfully in the recipient's possession prior to disclosure by the disclosing party.
c. Is rightfully obtained by the recipient from a third party without any obligation of confidentiality.
d. Is independently developed by the recipient without reference to the confidential Information.
4. Return of Information: Upon termination of the consulting engagement or at the request of the disclosing
Electronic Data Transmission:
- Data Transmission: The Hive Call agrees to transmit electronic data to the client in a secure and reliable manner using industry-standard encryption protocols and security measures, including via emails. The client acknowledges that electronic data transmission may involve inherent risks, such as unauthorized access or data corruption, and agrees to assume such risks.
- Data Privacy: The Hive Call agrees to handle client data in accordance with applicable data protection laws and regulations. The Hive Call will implement reasonable measures to protect the confidentiality and integrity of the transmitted data. However, The Hive Call cannot guarantee the absolute security of data during transmission and shall not be liable for any unauthorized access, interception, or loss of data.
- Consent and Authorization: The client acknowledges and consents to the transmission of electronic data by The Hive Call. The client authorizes The Hive Call to transmit and receive data on its behalf, including but not limited to confidential information, business data, and personal information of the client or its employees.
- Compliance with Laws: The Hive Call agrees to comply with all applicable laws, regulations, and industry standards governing electronic data transmission. The Hive Callwill take reasonable steps to ensure that its systems and processes comply with relevantdata privacy and security requirements.
- Client Responsibilities: The client agrees to:
a. Provide accurate and up-to-date information necessary for the transmission of electronic data.
b. Maintain the security and confidentiality of any login credentials or access codes provided by The Hive Call for the purpose of data transmission.
c. Use the transmitted data solely for the intended purpose and in compliance with applicable laws and regulations.
d. Notify The Hive Call promptly of any suspected or actual unauthorized access, loss, or breach of transmitted data.
6. Limitation of Liability: The Hive Call shall not be liable for any direct, indirect, incidental, or consequential damages arising from the transmission of electronic data, including but not limited to data breaches, unauthorized access, or data loss. The client agrees to indemnify and hold The Hive Call harmless from any claims, losses, or damages arising from the use or misuse of transmitted data.
7. Termination: Either party may terminate the electronic data transmission services upon written notice to the other party. In the event of termination, The Hive Call shall cease transmitting data to the client, and the client shall promptly return or destroy any data received from The Hive Call.

- Client: The term "client" refers to the individual or organization that engages the services of The Hive Call. The client seeks advice, expertise, and consulting services from The Hive Call in relation to their IT needs, projects, or initiatives.
- The Hive Call: The Hive Call LLC is a Cyber/IT consulting firm offering Cyber/IT consulting services to clients. The Hive Call is registered in Georgia USA, under the state of Georgia secretary of state.
- Services: In the context of the terms and conditions, "services" refer to the consulting services provided by The Hive Call to its clients.
- Confidential Information: "Confidential Information" refers to any proprietary or sensitive information disclosed by either the client or The Hive Call to each other during the course of the consulting engagement. This may include trade secrets, business plans, financial information, customer data, software code, and any other information that is designated as confidential.
- Fees: The term "fees" represents the financial compensation that the client agrees to pay to The Hive Call for the services rendered.
- Deliverables: The "deliverables" refer to the tangible or intangible outputs or results that The Hive Call agrees to provide to the client as part of the consulting services. These can include reports, analyses, recommendations, project plans, or any other agreed-upon work products.
